Terms of Service

1. Acceptance of Terms

By accessing or using the FunnelsEye platform ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Platform.

2. Platform Access

Access to FunnelsEye is granted by invitation and application only. The Platform reserves the right to approve, deny, or revoke access at its sole discretion, at any time, without obligation to provide a reason. Approved users receive a limited, non-exclusive, non-transferable license to use the Platform during their active subscription period.

3. Nature of Service

FunnelsEye provides technology infrastructure and automation systems to independent wellness coaches. The Platform is a technology provider — it does not deliver, supervise, or guarantee any coaching, wellness, or advisory services offered by coaches through the Platform. Coaches are independent service providers and are not employees, agents, or representatives of the Platform.

FunnelsEye is not the merchant of record for coaching services provided through the Platform. Coaches remain solely responsible for the services they offer to clients. Refund policies for coaching programs are determined by the respective coach providing the service, unless otherwise specified by the Platform.

4. Health & Wellness Disclaimer

The coaching services provided through the Platform may involve wellness, nutrition, fitness, or lifestyle guidance offered by independent coaches. The Platform does not provide medical advice, diagnosis, or treatment. Content, programs, and recommendations shared by coaches are intended for general wellness and educational purposes only and should not be considered medical or healthcare advice.

Users should consult qualified healthcare professionals before making significant health, nutrition, or fitness decisions. The Platform does not guarantee specific health, fitness, or business outcomes from any coaching programs offered by independent coaches.

6. Subscriptions and Payments

Access to the Platform requires payment of applicable subscription fees, billed monthly or annually. Subscription fees are non-refundable except as described in our Refund Policy. Subscriptions renew automatically unless cancelled before the renewal date. The Platform is developed and operated by 10X Octave Technologies Private Limited, a company registered under the laws of India.

FunnelsEye facilitates payment processing between coaches (service providers) and their clients using Stripe Connect and Razorpay Route as regulated payment infrastructure. The Platform acts as a technology intermediary — it collects payments on behalf of coaches and routes funds to their registered accounts, retaining a technology service fee per transaction. All payment flows are processed through Stripe Connect's managed marketplace model and Razorpay Route for India-based transactions, ensuring regulatory compliance, escrow management, and automated split payouts.

Coaches are required to complete Stripe Connect onboarding and/or Razorpay KYC verification before receiving payouts. The Platform does not hold client funds beyond the period required for settlement processing.

8. Prohibited Use

Users may not use the Platform for any unlawful, harmful, fraudulent, or deceptive purpose, including misrepresentation of credentials, facilitation of fraudulent transactions, sharing platform access with unauthorised parties, or generating deceptive communications.

9. Intellectual Property

All software, AI systems, automation infrastructure, design assets, and intellectual property associated with FunnelsEye are exclusively owned by the entity operating this Platform. Users receive no ownership rights — only a limited usage license as described in these Terms.

10. Termination

The Platform may suspend or terminate any user's access at any time for violation of these Terms, fraudulent activity, or conduct harmful to other users or the Platform. Termination does not entitle the user to any refund of fees already paid.

11. Limitation of Liability

To the fullest extent permitted by applicable law, the Platform and its operators shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use or inability to use the Platform.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Haryana, India.

Privacy Policy

1. Introduction

FunnelsEye is committed to protecting the privacy and personal data of all individuals who access or use this Platform. This Policy explains how we collect, use, store, and protect personal data in accordance with the EU General Data Protection Regulation (GDPR) and India's Digital Personal Data Protection Act (DPDP), 2023.

2. Data Collection

We collect personal data provided directly by users, including name, email address, phone number, business information, and payment details. Health and wellness data submitted voluntarily by end clients is also processed. Payment information is handled directly by our payment gateway partners and is not stored on our servers.

3. Data Controller

This Platform is a product of 10X Octave Technologies Private Limited, registered in India, which serves as the data controller for all personal data collected through FunnelsEye. All processing is carried out in accordance with applicable data protection law.

5. Data Sharing

We do not sell personal data. Data is shared only with payment processors (Stripe, Razorpay), cloud infrastructure providers, authorised communication API providers, and regulatory authorities where required by law.

6. Data Retention

Personal data is retained for the duration of an active account and a minimum of three years following account closure. Data deletion requests may be submitted to the contact address below.

7. Security

All data is encrypted in transit via TLS and encrypted at rest. The Platform enforces role-based access controls, multi-factor authentication for administrative access, and conducts regular security assessments.

You have the right to access, correct, or request deletion of your personal data and to withdraw consent where applicable. Contact: privacy@funnelseye.com

9. Sensitive Health Data

Certain wellness or health-related information may be voluntarily submitted by users or clients for the purpose of coaching services. Such information is processed only with the user's explicit consent and solely for enabling the services requested through the Platform. Users may withdraw consent at any time by contacting privacy@funnelseye.com, after which such data will be deleted within 30 days.

10. Cookies

The Platform uses cookies and similar technologies to enhance user experience, analyse platform usage, and maintain session security. Cookies may be session-based (deleted when the browser is closed) or persistent (retained for a defined period). Users may disable cookies through their browser settings, though this may affect Platform functionality.

Refund Policy

1. Platform Subscription Fees

Subscription fees paid to access FunnelsEye are non-refundable once a billing period has commenced. Access continues until the end of the current paid period upon cancellation. No pro-rated refunds are issued for unused time.

Exception: In the event of a verified technical failure attributable solely to the Platform that prevents access to core features for more than 72 consecutive hours, a service credit may be considered upon written request, at the Platform's sole discretion.

2. Client Payments for Coaching Services

Clients who purchase coaching services through the Platform do so directly with the individual coach — an independent service provider. The Platform facilitates payment processing as a technology intermediary and is not the merchant of record for coaching services. The entity operating this Platform bears no liability for the quality or outcome of coaching services and is not obligated to issue refunds for coaching program purchases.

Refund eligibility for coaching services is determined solely by each coach's individual refund policy. Coaches are required to clearly disclose their refund policies to clients prior to payment.

All payments made through the Platform are processed by third-party payment providers including Stripe Connect and Razorpay. Refund processing and chargeback procedures are subject to the policies of these payment providers.

Users who generate excessive chargebacks may have Platform access reviewed and suspended. The Platform reserves the right to withhold pending settlements during any active dispute or fraud review.

5. Fraud Protection

The Platform reserves the right to investigate and deny refund requests that appear fraudulent, abusive, or inconsistent with the applicable refund policy. In cases of suspected fraud, the Platform may suspend the relevant account pending investigation and cooperate with payment providers and law enforcement as required.

Coach Partner Agreement

EFFECTIVE DATE: 01 JANUARY 2026 · VERSION 1.0

1. Parties

This Coach Partner Agreement ("Agreement") is entered into between FunnelsEye ("Platform") and the individual or business entity that has been granted access to the Platform ("Coach" or "Partner"). By accessing or using the Platform, the Coach agrees to be bound by this Agreement.

2. Nature of Relationship

The Coach is an independent service provider and is not an employee, agent, joint venture partner, or legal representative of the Platform. The Coach is solely responsible for the coaching, wellness, and advisory services they deliver to their clients. The Platform provides technology infrastructure only and has no involvement in the delivery, quality, or outcome of any coaching services.

Nothing in this Agreement creates an employment relationship, partnership, or franchise arrangement between the Coach and the Platform.

The contractual relationship for coaching services exists solely between the Coach and the Client. The Platform is not a party to that service relationship and bears no liability for the performance, quality, or outcome of any coaching engagement.

The Coach acknowledges that they are solely responsible for the content, guidance, and services they provide to clients through the Platform. The Platform does not supervise, endorse, or verify the coaching advice or methods used by individual coaches.

3. Platform License

Upon approval and active subscription, the Platform grants the Coach a limited, non-exclusive, non-transferable, revocable license to access and use the FunnelsEye platform for the purpose of managing their independent coaching business. This license is personal to the Coach and may not be sublicensed or transferred to any third party.

4. Payment Processing

The Platform facilitates payment collection from the Coach's clients on the Coach's behalf using Stripe Connect (for international transactions) and Razorpay Route (for India-based transactions). The Coach must complete the required KYC verification and Connect onboarding with the applicable payment provider before receiving payouts.

The Platform deducts a technology service fee from each transaction before remitting the balance to the Coach's registered payout account. The applicable fee percentage is communicated at the time of onboarding and may be updated with 30 days written notice.

The Coach acknowledges that all client payments are processed through regulated payment infrastructure and that the Platform complies with applicable financial regulations, including PCI-DSS standards. The Coach is responsible for issuing invoices or receipts to their clients as required by applicable law.

The Coach is solely responsible for determining, collecting, reporting, and remitting any applicable taxes — including GST, income tax, and any other levies — arising from the services they provide to clients or the commissions they receive through the Platform. The Platform does not withhold or remit taxes on behalf of coaches.

5. SaaS Affiliate Referral

The Platform operates a SaaS affiliate referral programme. Coaches who refer other coaches to the Platform may receive a referral commission based solely on the referred coach's paid SaaS subscription fees. This referral commission is strictly a software affiliate commission and is not linked to any product sales, client payments, or service delivery by the referred coach or their clients.

The referral programme does not constitute a multi-level marketing arrangement. Commissions are earned only one level deep — from the direct referral's subscription — and do not compound across further referrals made by the referred coach.

6. Coach Responsibilities

The Coach agrees to: maintain all required professional qualifications and certifications applicable to their coaching services; comply with all applicable laws and regulations in their jurisdiction; not misrepresent their credentials, services, or outcomes to clients; not use the Platform for any unlawful, deceptive, or harmful purpose; maintain accurate and up-to-date account and payout information; and promptly notify the Platform of any disputes, chargebacks, or client complaints.

7. Intellectual Property

The Coach retains ownership of all original coaching content, programmes, and materials they create. The Platform retains ownership of all software, automation systems, AI infrastructure, brand assets, and technology comprising the FunnelsEye platform. The Coach grants the Platform a limited licence to display their profile, name, and branding within the Platform solely for the purpose of operating the service.

8. Confidentiality

The Coach agrees to keep confidential all non-public information about the Platform's technology, pricing, systems, and operations that they become aware of through their use of the Platform. The Platform is operated by 10X Octave Technologies Private Limited, a company incorporated in India. This obligation survives termination of this Agreement.

9. Termination

Either party may terminate this Agreement with 30 days written notice. The Platform may terminate immediately upon breach of this Agreement, fraudulent activity, or conduct harmful to clients, other coaches, or the Platform. Upon termination, the Coach's access to the Platform is revoked and any pending payouts will be settled in accordance with standard payment processing timelines, net of any outstanding fees or disputed amounts.

10. Limitation of Liability

The Platform shall not be liable for any loss of revenue, client disputes, or business outcomes experienced by the Coach. The Platform's total liability to the Coach under this Agreement shall not exceed the subscription fees paid by the Coach in the three months preceding the claim.

11. No Guarantee of Income or Outcomes

The Platform makes no representation, warranty, or guarantee that use of the FunnelsEye platform will result in any specific level of income, revenue, client acquisition, or business growth for the Coach. Results depend entirely on the Coach's individual effort, skill, market conditions, and other factors outside the Platform's control.

Any income figures, case studies, or results referenced in Platform communications or marketing materials represent exceptional outcomes and are not typical. Coaches should not expect to replicate such results solely through use of the Platform.

Similarly, the Platform does not guarantee any health, fitness, or wellness outcomes for the clients of coaches. All health-related results are the responsibility of the individual client and the coaching services provided by the Coach.

12. Governing Law

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Haryana, India.

Any wellness, nutrition, fitness, body composition, or lifestyle guidance provided through the Platform is offered by independent coaches for general informational and educational purposes only. Such guidance should not be interpreted as, or substituted for, professional medical advice.

Users and clients are strongly advised to consult a qualified and licensed healthcare professional, physician, or registered dietitian before making any significant changes to their diet, exercise routine, supplementation, or health management approach — particularly if they have any existing medical condition, are pregnant, or are on prescription medication.

2. No Health Outcomes Guaranteed

The Platform does not guarantee any specific health, fitness, body composition, or wellness outcomes from the use of any coaching programme, plan, or tool delivered through FunnelsEye. Individual results depend on numerous personal factors including but not limited to genetics, medical history, consistency, lifestyle habits, and adherence to the programme.

Any results, testimonials, or case studies referenced on this Platform or by coaches using this Platform represent individual experiences and are not typical results. They should not be interpreted as a guarantee of similar outcomes.

3. Not Professional Financial or Business Advice

Nothing on this Platform, including any coaching business tools, income projections, automation systems, or marketing materials, constitutes professional financial, investment, accounting, or legal advice.

The Platform does not guarantee any specific level of income, revenue, or business growth to coaches who use FunnelsEye. Business outcomes depend entirely on the individual coach's effort, skill, market conditions, audience, and factors beyond the Platform's control.

Coaches should consult qualified financial advisors, accountants, or legal professionals before making significant business or financial decisions.

4. Independent Coach Responsibility

All coaches on the FunnelsEye platform are independent service providers. They are not employed by, affiliated with, or supervised by the Platform. The Platform does not verify, endorse, or guarantee the qualifications, credentials, advice, or conduct of any individual coach operating through FunnelsEye.

Clients engaging with coaches through the Platform do so at their own discretion and are responsible for evaluating the suitability of a coach and their services before engaging. The Platform is not liable for the quality, accuracy, safety, or outcome of any coaching service delivered by an independent coach.

5. Emergency Situations

If you are experiencing a medical emergency, a mental health crisis, or any situation requiring immediate professional intervention, please contact emergency services or a qualified healthcare provider immediately. Do not rely on the Platform or any coaching service for emergency support.
